Thank you for choosing ByeHotelier! By accessing or using our services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully. If you do not agree to these Terms, do not use our services.

1. Services We Provide

ByeHotelier provides a range of services to help hotels optimize their revenue and operations. These services include but are not limited to:

• Revenue management consulting

• Google Business profile optimization

• Booking engine integration

• Digital marketing services

• Guest experience enhancement (e.g., pre/post-stay SMS, digital welcome guides)

The specific services we provide to each hotel will be outlined in a separate agreement, which may be subject to change based on consultation with the hotel.

2. Responsibilities of the Hotel

In order to deliver our services effectively, the hotel is responsible for:

• Providing accurate and up-to-date information necessary for us to perform our services (e.g., business data, occupancy details).

• Ensuring timely payment for our services as outlined in the agreement.

• Procuring and maintaining any third-party technologies or systems needed for service delivery (e.g., booking engines, revenue management software), unless otherwise noted in the agreement.

3. Payment Terms and Conditions

Our payment structure may vary depending on the service provided. Specific payment terms, including any recurring fees, will be listed in the agreement with the hotel.

• Upfront Payments: Certain services may require upfront payments. These payments are non-refundable.

• Recurring Fees: Services that incur recurring fees (e.g., monthly management of Google Ads) will also be non-refundable.

• Payment Due Dates: All payments are due within the timeframe stated in your agreement. Late payments may incur additional charges or lead to service suspension.

4. Limitation of Liability and Disclaimers

• No Guarantees: ByeHotelier does not guarantee specific results from our services, as the success of revenue management and marketing strategies can be influenced by numerous external factors.

• Limited Liability: In no event shall ByeHotelier, its affiliates, or employees be held liable for any direct, indirect, incidental, or consequential damages arising out of your use of our services. Our total liability, whether in contract or tort, shall not exceed the amount paid for the service in question.

5. Intellectual Property Rights

• Ownership: Any content or materials we create for your hotel (such as marketing content, reports, or custom integrations) remain the intellectual property of ByeHotelier unless otherwise agreed upon.

• License: You are granted a limited, non-exclusive license to use these materials for the duration of our agreement. You may not resell, redistribute, or modify the content without our express permission.

• Third-Party Tools: Some of our services may involve the use of third-party tools (e.g., booking engines, analytics platforms). You agree to comply with the terms of use of these third-party tools.

6. Termination

Either party may terminate the agreement with one month’s advance written notice. Upon termination, you will remain responsible for any payments due for services rendered up until the termination date. We reserve the right to suspend or terminate our services immediately if the hotel fails to comply with these Terms, including non-payment or misuse of the services.

7. Dispute Resolution

In the event of a dispute, we encourage both parties to attempt to resolve the matter amicably through good-faith negotiations. If we are unable to reach a resolution, any disputes related to this agreement will be subject to the laws and jurisdiction of Vancouver, Canada.

8. Governing Law

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Vancouver, Canada.

9. Changes to Terms

We may update these Terms from time to time. Any changes will be posted on this page with the updated effective date. By continuing to use our services, you agree to the updated Terms.
